Civil liability of directors

We regularly face questions from directors who too often ignore the fact that their personal liability may be incurred as part of their mandate as company directors.

The Belgian Code of Companies and Associations (CSA) has made major changes in this area by establishing a general liability regime for directors. But there are still specificities scattered in the codes and it is therefore often difficult to see clearly.

Without claiming to be exhaustive, this article aims to draw the attention of corporate officers to some legal rules that they should keep in mind in order to limit the risk that their liability may be called into question.
